Chanticleer Holdings Announces Record Date for Special Meeting to Approve Proposed Business Combination
Record Date for Special Meeting is January 24, 2020
CHARLOTTE, N.C., Jan. 16, 2020 (GLOBE NEWSWIRE) -- Chanticleer Holdings, Inc. (NASDAQ:BURG) (“Chanticleer” or the “Company”), owner, operator, and franchisor of multiple nationally recognized restaurant brands, today announced that it has established Friday, January 24, 2020 as the record date (the “Record Date”) for its special meeting of stockholders (the “Special Meeting”) to be held to, among other things, approve the proposed business combination between Chanticleer Holdings and Sonnet BioTherapuetics.
Chanticleer holdings stockholders of record as of the close of business on the record date will be entitled to vote their shares at the special meeting either in person or by proxy. The Company also announced that it will establish the date of the special meeting at a later time.
The closing of the Business Combination is subject to approval by Chanticleer’s stockholders and the satisfaction of other customary closing conditions and is expected to close in the first quarter of 2020.
On October 10, 2019, Chanticleer announced that it entered into a definitive merger agreement with Sonnet under which the shareholders of Sonnet will become the majority owners of Chanticleer’s outstanding common stock. Subject to shareholder approval by both Chanticleer and Sonnet and approval of the Nasdaq Stock Market, the proposed merger will result in a publicly-traded company operating under the Sonnet name under the proposed Nasdaq ticker symbol “SONN” that will focus on advancing Sonnet’s pipeline of oncology candidates and the strategic expansion of Sonnet’s technology platform into other human diseases.
